We’re thrilled to share some exciting news from Opyl Limited! We’ve just signed a Memorandum of Understanding (MOU) with the Xco consortium, marking a significant step in our global expansion journey. This collaboration will see us teaming up with Whit Pepper and Greg Bailey, along with their extensive team, to form a joint venture (JV) aimed at marketing and distributing Opyl’s innovative products and services, including TrialKey, across Europe, the Middle East, Africa, and North America.
What Does This Mean for Opyl?
This partnership represents a fantastic opportunity for Opyl to broaden its reach and enhance its impact in the clinical trial and biotech sectors. Here’s a closer look at what this means for our company and stakeholders:
1. Initial Due Diligence Period
We’re kicking things off with a three-month due diligence period to ensure all terms and conditions are thoroughly agreed upon.
2. Formation of the Joint Venture
Once established, the JV will exclusively market and sell Opyl’s products in the specified regions, providing us with a powerful platform for growth and increased market presence.
3. Financial Boost
Opyl will receive a cash payment of USD 1 million (AUD 1.5 million) upon successful completion of due diligence. This payment will cover license rights and research and development efforts.
4. Capital Raise
The JV entity will undertake a capital raise, targeting between USD 3 million and USD 5 million within nine months of establishment. This funding will support the marketing and sales of our products, ensuring robust growth and market penetration.
5. Revenue Sharing and Equity Stake
Opyl will hold a 20% equity stake in the JV, with a structured revenue-sharing agreement that benefits both parties. For the initial USD 1.25 million of revenue, 80% will go to the JV entity and 20% to Opyl. Revenue exceeding this amount will be split 60% to the JV entity and 40% to Opyl.

- Year 1: USD 1 million
- Year 2: USD 2 million
